FINE ARTS PATRONS BY-LAWS
Article I Name
The name of this organization is Villa Madonna Academy Fine Arts Patrons (“FAP”).
Article II Purpose Statement
The purpose of the FAP is to promote, enhance and generate financial support for the
Fine Arts Department at VMA. Fine Arts Department shall include music, art and drama.
Article III Policies
The policies will be developed through meetings, conferences and committees and will
work in conjunction with the administrative staff of the school.
Article IV Membership
Section I. Members: The members of FAP may include parents or guardians of students, teachers, alumnae, administration, staff and friends of VMA. There shall be no membership fee for this organization. The address of this organization shall be VMA Fine Arts Patrons, Villa Madonna Academy, 2500 Amsterdam Road, Villa Hills, Kentucky 41017.
Section II. Role at Regular Meetings: Any member is welcome to attend and provide
input to the FAP.
Section III. Voting Privileges: Each member will have one vote.
Article V Voting
Roberts Rules of Order will be followed for voting.
Article VI Officers: Duties and Elections
Section I. Board: The FAP Board shall be composed of the following elected officers: President, Vice-President, Corresponding Secretary, Recording Secretary and Treasurer. The Board in conjunction with the administration has the authority to re-assign specific job duties as required.
1. Duties
a. President
a. The President shall preside at all meetings of the FAP and of the Executive Board.
b. The President shall form the agenda for each meeting in conjunction with the VMA President and other members of the Executive Board. Members may submit requested agenda topics to the FAP President up to one week prior to the meeting.
b. Vice-President
a. The Vice-President shall attend all FAP meetings.
b. Assist the President of FAP in the performance of his or her
duties.
c.Oversee and coordinate the FAP sponsorship program.
1.) Have sponsors’ names engraved on plaques.
2.) Have sponsors’ name plates placed on theatre seats.
3.) Responsible for other sponsor recognition as they arise.
c. Recording Secretary
a. Attend all FAP meetings and record the official minutes.
b. Present the minutes for approval to the administration and to the
committee.
c. Post the approved minutes on the FAP link on the VMA website.
d. In event the President and Vice-President are unable to attend a
meeting, the secretary will preside.
4. Corresponding Secretary
a. Ensure that all FAP related donations are processed and acknowledged.
b. Notify members of upcoming meetings/events.
c. Promote public relations for the FAP.
1.) Ensure that FAP sponsors are recognized in VMA fine arts events programs.
2.) Notify sponsors of upcoming events
5. Treasurer
a. Attend all FAP meetings.
b. Serve as authorized signatory on all FAP checks
c. Maintain account balances and present a monthly financial update and
an annual financial report for FAP meetings.
d. At the end of the current school year, prepare and present an approved
financial report to the incoming board members and the business
manager.
Section II Nomination, election and installation of officers
A. Nominations
1. Annually the Board will ask for nominations for the general election.
2. Any FAP member may nominate any other member or themselves for the Board.
3.Nominees are to be approved by the existing Board and the administration.
B. Elections
d. All members of the FAP are eligible to vote.
e. Officers will be elected in May.
f. Officers shall serve for a term of two years.
g. No person shall serve more than two consecutive terms in the same position.
h. Votes will be counted and a two-thirds majority is required.
i. Vacancies on the Board occurring during the year may be filled by a person appointed and approved by the FAP president, one other FAP Board member and the administration.
C. Installation
1. Board members will be installed on the date of their election.
2. Upon installation, the new officers will assume their duties.
3. The new officers will meet prior to the first day of school the following year.
Article VII Meetings
Sections I. Meetings of the FAP Board: Meeting of the FAP Board will be held as
needed and as designated by the Board president.
Section II. General membership meetings: General membership meetings shall occur monthly or as needed during the school year on a date designated by the Board.
Section III. Number of members required for meeting: A minimum of two Board members shall be present to transact business. Section IV. Meeting format: FAP meetings will be conducted according to Roberts Rules of Order.
Article VIII Finance
Section I. Bank Account: If and when an account shall be established it shall carry the name of Villa Madonna Academy FAP and bear the Villa Madonna Academy tax exempt number.
Section II. Expenses: All expenses of the FAP will by approved by the Board.
Article IX Amendments to the By-Laws
Section I. By-Laws Revisions: These by-laws will be reviewed annually. They may be revised as necessary to meet changing conditions in the school and community. These revisions will be brought to a vote of the general membership.
Section II . By-Laws Amendments: By-laws may be amended at any general membership meeting by a vote of two-thirds of the members present. Notice of intent to change the by-laws shall be given at least two weeks prior to the meeting.
